Partner Program Terms

1. 01

   The Partner Program

   The PickSpot Partner Program allows eligible participants to introduce businesses to PickSpot Business and earn from qualifying transactions completed by businesses attributed to their Partner account.

   Participation does not guarantee any minimum earnings, number of transactions, or duration of participation.

2. 02

   Qualifying transactions

   You earn only on transactions that PickSpot records as qualifying completed transactions from businesses attributed to your Partner account.

   A transaction may not qualify if it is cancelled, refunded, reversed, fraudulent, artificially created, self-dealing, duplicated, or otherwise violates these Terms or PickSpot policies.

   PickSpot may correct transaction or attribution records where there is an error, refund, reversal, fraud, or misuse.

3. 03

   Earnings and payouts

   The applicable earning rate and any minimum payout threshold will be shown in your Partner account or otherwise communicated by PickSpot.

   Qualifying earnings are normally processed for payout daily once applicable payout requirements are met.

   Payouts may be delayed while we investigate unusual activity, verify information, resolve a dispute, comply with legal requirements, or because of circumstances affecting our payment providers.

   You are responsible for any taxes or other obligations arising from payments you receive.

4. 04

   Fair use

   Partners must bring genuine businesses and genuine commercial activity to PickSpot. You must not:

   • create fake businesses, accounts, orders, or transactions;
   • transact with yourself or coordinate transactions primarily to generate Partner earnings;
   • manipulate attribution or attempt to claim businesses you did not genuinely introduce;
   • make false or misleading claims about PickSpot;
   • impersonate PickSpot or claim to be an employee or authorised representative;
   • collect payments from merchants or customers on PickSpot's behalf unless expressly authorised;
   • spam merchants or use personal information unlawfully; or
   • attempt to circumvent PickSpot's fraud, eligibility, or payout controls.

   PickSpot may withhold earnings connected to fraudulent or prohibited activity.

5. 05

   Your relationship with PickSpot

   “Partner” is the name of the program. Participation does not create a legal partnership, employment relationship, agency, franchise, or joint venture between you and PickSpot.

   You operate independently and have no authority to enter into agreements, make commitments, incur liabilities, or make representations on behalf of PickSpot.

   You decide how and when you identify or introduce businesses, subject to these Terms and applicable law.

6. 06

   PickSpot brand

   You may use materials specifically provided or approved by PickSpot for the Partner Program.

   You may not alter PickSpot branding in a misleading way, register domains or accounts that impersonate PickSpot, or represent yourself as PickSpot itself.

   PickSpot retains all rights in its brands, products, software, and materials.

7. 07

   Accounts and verification

   You must provide accurate account and payout information and keep it up to date.

   We may require identity, payment, business, or other verification before allowing participation or processing payouts.

   You are responsible for activity carried out through your Partner account.

8. 08

   Suspension and termination

   You may stop participating at any time.

   PickSpot may suspend or terminate participation where we reasonably believe there has been fraud, abuse, misleading conduct, violation of these Terms, legal or regulatory risk, or activity that could harm PickSpot, its merchants, customers, or partners.

   Valid earnings accrued before ordinary termination remain payable subject to these Terms. Earnings connected to fraud, manipulation, or prohibited activity may be cancelled or withheld.

9. 09

   Changes to the program

   PickSpot may change earning rates, qualification rules, payout thresholds, program features, or these Terms as the program develops.

   Changes affecting future earnings will apply prospectively. Material changes will be communicated through the Partner platform, website, or another reasonable channel.

   Continuing to participate after a change takes effect means you accept the updated Terms.

10. 10

    Other PickSpot terms

    Your use of PickSpot services is also subject to PickSpot's applicable Terms of Service, Privacy Policy, and Acceptable Use Policy.

    If these Partner Program Terms conflict with the general Terms specifically regarding participation in the Partner Program, these Partner Program Terms will apply to that issue.

11. 11

    Governing law

    These Terms are governed by the laws of Kenya.

    Any dispute relating to the Partner Program will be subject to the jurisdiction of the courts of Kenya.
